A limited liability partnership (LLP, or TOO in Russian) is the most common business form in Kazakhstan. Foreigners can be founders and directors of an LLP, and registration itself is now largely digital. In practice, though, the timeline is driven not by registration but by preparation: documents, the IIN and the bank.
Step 1. Choose your form of presence
An LLP is a separate legal entity that can carry out any lawful commercial activity. If you represent a foreign company, the alternatives are a branch (operating on behalf of the parent) or a representative office (representative functions only, no commercial activity). The choice affects taxes, liability and banking.
Step 2. Get an IIN
Every foreign individual founder and director needs an Individual Identification Number. In many cases it can be obtained remotely under a notarised power of attorney with an apostille or legalisation.
Step 3. Prepare the documents
- Charter and sole founder's resolution or minutes of the founders' meeting
- Passports of the founders and director with notarised translations
- For a corporate founder — a register extract and a resolution to establish the LLP, apostilled and translated
- Proof of the legal address
Step 4. Complete state registration
Documents are filed with the registration authority — online via eGov with a digital signature, or through a representative. Once registered, the company receives a BIN. The procedure usually takes from a few business days if the documents are in order.
Step 5. Open a bank account
This step often takes longer than expected. Banks review the ownership structure and source of funds and frequently require the director to attend in person. A well-prepared compliance pack speeds things up considerably.
Step 6. Go operational
